Economic and Project Development, Tax Incentives and Public Finance

The Firm represents clients, private and public, in the economic and industrial project development space.  In that role, we have assisted a wide variety of clients in securing public financing and maximizing the benefit of available tax incentives.  Clients have included all types and sizes of new and expanding industrial and energy concerns, from an automotive manufacturer investing over $1 billion in a new facility, to a shipyard investing hundreds of millions in expansions, to small expansions of existing industries.  The Firm has helped draft special incentive legislation for a number of large projects and has assisted other clients in structuring complex transactions and in negotiating and implementing available incentives.  Incentives include special legislative economic development benefits; property, sales, use and franchise tax incentives; tax exempt and taxable bond financing; and tax increment financing.  In the course of the Firm’s work, our members have assisted clients in negotiating and implementing incentives with State level authorities, including the Mississippi Development Authority, the Mississippi Business Finance Corporation, and the Mississippi Department of Revenue, and local county and city governments across the State. We have also represented the Mississippi Development Authority in its negotiation and implementation of incentives for a large steel mill project. The Firm also has extensive experience in State and local industrial and economic development financing with state and federal tax incentives.

To effectively assist clients in such projects, the Firm assembles a multi-disciplinary team for each with the appropriate legal specialties for the project that typically include public finance, economic development tax incentives, financing, environmental / permitting and other regulatory assistance, real estate, and other commercial activities.

Representative Matters

  • Toyota selected Mississippi as the site of a new, $1.3 billion automotive assembly plant.  A number of states were competing to recruit Toyota, and each had offered a variety of incentives.  Toyota selected the Firm to represent it in all phases of project development, beginning with the evaluation of incentives offered by Mississippi and, once this state was selected, the implementation of those incentives.  Firm members specializing in Economic Development Tax Incentives assisted Toyota in implementing the incentives offered by Mississippi, which included advice concerning available incentives and negotiating contracts with state and local entities necessary to implement the same as well as working with the Governor’s office and Mississippi Development Authority to prepare and seek passage of special legislation supporting the project.
  • When Mississippi recruited a major new steel manufacturer, the State determined it required outside legal assistance to advise it with respect to this complex commercial and financing transaction.  The Firm was retained by the Mississippi Development Authority, which it represents in its dealings with the project company, working closely with MDA staff to negotiate and implement a large incentive and financing package approved by the Mississippi Legislature.
  • The Firm served as Underwriter’s Counsel for $7,750,000.00 in tax-exempt Mississippi Development Bank Special Obligation Bonds for Lowndes County, Mississippi, issued to finance certain projects and improvements of the county.
  • The Firm served as Underwriter’s Counsel for $8,900,000 in tax-exempt Mississippi Development Bank Special Obligation Bonds for the City of Columbus, issued to finance certain projects and improvements of the city and to redeem certain prior outstanding bonds.
  • The Firm served as Bond Counsel for $200,000,000 Mississippi Business Finance Corporation Industrial Development Revenue Bonds issued to finance the acquisition, improvement, equipping and construction of a natural gas pipeline in south Mississippi.
  • Regularly advise clients on financing development projects through Mississippi Business Finance Corporation bond issues.
